1) Who we are
Nakalai (“Nakalai”, “we”, “us”) provides an enterprise AI operating platform for conversations, agents, workflows, integrations, and measurable outcomes.
2) Scope of services
- Platform access: Tenant workspaces, users, agents, prompts, channels, knowledge, workflows, analytics, and account controls.
- Implementation services: Onboarding, workspace configuration, prompt and workflow setup, channel integration, and related advisory support.
- Operational support: Usage reporting, quality review, billing support, and platform assistance within the agreed plan or statement of work.
3) Plans, pricing, and payment
- Commercial terms may include subscriptions, usage-based charges, implementation fees, or agreed custom pricing.
- Invoices and payment timelines are governed by the applicable order form, statement of work, or billing settings for your workspace.
- Late or failed payment may limit access to paid features, usage expansion, or implementation deliverables.
4) Service access and customer responsibilities
- You are responsible for the accuracy of workspace inputs, authorized users, connected channels, and downstream business decisions made from platform outputs.
- You must maintain lawful rights to the data, prompts, channel credentials, and content you submit to the platform.
- You must take reasonable measures to secure your credentials, users, and connected systems.
5) Availability, changes, and support
- We may update the platform, release improvements, or modify non-essential features as part of normal operations.
- Support response times and implementation scope depend on the applicable commercial agreement or support plan.
- Planned maintenance or urgent security work may temporarily affect access.
6) AI and acceptable use
- AI outputs are assistive. You remain responsible for final decisions, customer communications, and operational actions taken from those outputs.
- No illegal, harmful, or abusive use. We may suspend access if misuse is detected.
- Data shared with AI is handled under our Privacy Policy.
7) Data protection
We process personal data per the Kenya Data Protection Act and our Privacy Policy. Marketing is opt-in; you can withdraw consent at any time.
8) Liability
- We exclude indirect or consequential losses to the fullest extent permitted by Kenyan law.
- Total liability for a claim is capped at the fees paid for the relevant product or service giving rise to the claim.
- Nothing limits liability for gross negligence, fraud, or matters that cannot be excluded by law.
9) Governing law and disputes
These terms are governed by the laws of Kenya. Disputes will first be addressed amicably; failing that, the courts of Kenya have jurisdiction.
10) Updates
We may update these terms to reflect changes in services, law, or operations. The “last updated” date shows the latest version.
